SPECIFIC ISSUE OF SHARES FOR CASH TO ARC – FINAL VOTING RESULTS
Shareholders are referred to the announcement published on SENS on 7 March 2019
(“Voting Results Announcement”) regarding the receipt by Global of Written Consents
from the requisite majority of shareholders for the approval of the Specific Issue Ordinary
Resolution and the Enabling Resolution, which required at least 75% (in respect of the
former) and 50% plus one vote (in respect of the latter) of all the voting rights exercised
on such resolutions in accordance with the JSE Listings Requirements for the approval
thereof. The Notice in respect of these resolutions was included in the circular distributed
to shareholders on 7 March 2019 (“Circular”). Capitalised terms used herein bear the
same meaning as defined in the Voting Results Announcement and/or the Circular.
Shareholders are advised that the Company has not received any further Written
Consents since the date of the Voting Results Announcement and 12:00 on Friday,
12 April 2019, being the latest date by which the Written Consent was to be received by
the Transfer Secretaries. Accordingly, the percentage of votes carried for and against
each of the aforementioned resolutions remain unchanged from that which was
included in the Voting Results Announcement, i.e. the Specific Issue to ARC has been
approved by the requisite majority of shareholders and has been implemented.
The statement describing the results of the vote has been posted to shareholders in
accordance with section 60 of the Companies Act.
